1. Acceptance of Terms
These Terms form a binding agreement between you (or the business you represent) and UBXTY Unboxing Technology ("Eehsaas", "we", "us") governing your access to and use of Eehsaas, including the websites, mobile applications, APIs and any other interface we make available (together, the "Services"). By creating an account, signing in, or otherwise using the Services you accept these Terms. If you do not accept them, do not use the Services.
If you accept these Terms on behalf of a company or other organisation, you confirm you are authorised to bind that entity, and "you" includes that entity. We may ask you for evidence of that authority.
Defined terms. "Business" means the premises, project, or operation you run on Eehsaas, in whichever vertical you have chosen. "Site" means a single location, unit, or set of premises belonging to one Business. "Vertical" means the category of business you have selected when registering. "Content" means the data, records, documents, images and information you or your users upload, create or generate on the Services.
The verticals available to you at the date of these Terms are Restaurants, Contractors, PG and Hostel, Retail, Hotel, and Point of Sale. These Terms apply identically to every vertical, and a single account may operate Businesses in more than one vertical. We may add, retire or change a vertical from time to time; that will not alter these Terms, and we will give notice before retiring a vertical you actively use.
These Terms should be read with our Privacy Policy, Acceptable Use Policy, Cookie Policy, Refund Policy and Data Processing Addendum, each of which is incorporated by reference.
2. Eligibility & Account
You must be at least 18 years of age and able to enter into a binding contract to use the Services. If you are a minor under the law applying to you, you may use the Services only with the involvement and consent of a person who can contract on your behalf.
You must provide accurate, current and complete information when you register and keep it accurate. You are responsible for activity on your account, including activity by the users you invite. Notify us promptly at legal@eehsaas.com if you suspect unauthorised access.
One account may operate multiple Businesses and multiple Sites. You are responsible for ensuring that each user you invite is authorised to act for the Business it is given access to. Where you operate a Business on behalf of a client, you confirm you have their authority to do so.
You may not resell, sublicense or provide the Services to third parties as a standalone offering, nor share a single account across businesses that are not yours. Multi-tenant and volume arrangements are available under a separate written agreement.
3. Licence to Use Eehsaas
Subject to your payment of fees and your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own internal business purposes during your subscription term.
The licence is restricted to the number of Sites, users and usage you have subscribed to. Exceeding those limits is a material breach. We may provide increased limits through your plan or a separate written agreement.
You may not copy, modify, create derivative works of, reverse engineer, decompile or attempt to derive the source code of the Services, except to the extent that restriction is prohibited by law and cannot be waived. You may not use the Services to build a competing product, nor to benchmark it for publication without our written consent.
All rights not expressly granted are reserved. Nothing in these Terms transfers any intellectual property right in the Services to you.
4. Subscriptions, Plans & Credits
Access to the Services is provided on a subscription basis. We offer plans that vary by vertical, by number of Sites, and by included usage. The plan you select, its price, its billing period and its included allowances are shown at the point of purchase and on your billing statements.
Where a plan is billed monthly, the subscription renews automatically at the end of each billing period at the then-current price unless you cancel beforehand. Where a plan is billed annually, the price is fixed for the term and we will give you reasonable notice before any change at renewal.
Some plans include usage credits. Credits are a prepaid measure of usage, are not money, are not refundable except as set out in the Refund Policy, and do not carry a monetary value outside the Services. Credits do not expire while your subscription is active unless your plan states otherwise; any expiry is stated on your plan before you buy it.
A subscription is licensed to the Business you registered it for. Adding Sites, users or verticals may change your price, and we will tell you before any change takes effect.

5. Payments & Razorpay
We accept payment by the methods shown at checkout. Payments are processed by Razorpay, an independent third party. We do not see or store your full card or bank credentials; Razorpay handles those under its own terms and privacy policy.
Fees are exclusive of applicable taxes unless stated otherwise at checkout. Where we must collect tax, we add it to the amount charged. If you are registered for tax in your jurisdiction and provide a valid registration number, the correct treatment will be applied.
If payment fails, we may retry, restrict paid features, or suspend the account after giving you notice and a reasonable opportunity to update your payment details.
Amounts are shown in the currency of your subscription. Where your local law requires billing in your local currency, the currency shown at checkout governs.
You are responsible for any bank charges, and for taxes arising on your use of the Services other than taxes we are required to collect.
6. Your Business & Content
You retain all right, title and interest in your Content and in the records generated for your Business. We claim no ownership of your Content, and nothing in these Terms transfers any such right.
You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display and process your Content only to the extent necessary to operate the Services for you — including backing it up, indexing it for search within your own account, and generating outputs you have asked for. That licence ends when we no longer need it, except for copies retained in backup, which we delete on our normal backup cycle.
You confirm you have the rights and permissions necessary to upload your Content, and that doing so does not infringe anyone's rights, breach any third-party agreement, or violate applicable law. Content that records an individual — a customer, a resident, an employee, a worker or a student — must be uploaded only where you have a lawful basis to hold it. Our Privacy Policy explains how we treat that data on your behalf.
You are responsible for the accuracy and legality of your Content, and for any decision you take because of it. Eehsaas records what your Business does; it does not advise you on it.
On termination you may export your Content for the period stated in our Privacy Policy, after which we may delete it in accordance with the retention periods set out there.
7. Intellectual Property
The Services, including their software, design, text, trade marks and logos, and the arrangement of their user interfaces, are owned by UBXTY Unboxing Technology or our licensors. Our name, logos and trade marks may not be used except to identify the Services accurately.
We may, at our discretion, change or discontinue any part of the Services. Where a change materially reduces functionality you rely on, we will give you reasonable notice and, where a paid plan is affected, an appropriate adjustment or the option to cancel.
Feedback you send us may be used freely by us to improve the Services without obligation or restriction to you.
8. Acceptable Use
Your use of the Services must also comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. That policy sets out what you may not do with the Services, including attempts to compromise the platform, unlawful use of Content, and use that infringes the rights of others.
9. AI Features & Outputs
Some features use artificial intelligence to generate, extract or suggest content — for example, extracting line items from an uploaded bill, or drafting a summary. These features are identified as such in the product when you use them.
AI output is probabilistic and may be incomplete or incorrect. You must review any AI output before relying on it, and you remain solely responsible for what you do with it. In particular, do not use AI output as the sole basis for a financial, legal, tax or employment decision affecting any person.
Where you upload Content to an AI feature, you confirm you have the right to do so, and you should avoid submitting sensitive personal data where the feature does not require it.
Where a feature asks you to confirm extracted values before saving them, that confirmation is required: accepting a figure into your records is your decision, not ours.
We may improve, change or withdraw an AI feature. Where a change materially reduces a paid capability, the notice and adjustment commitment in clause 7 applies.
10. Suspension & Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not pro-rate a part-period automatically, and any refund is governed by the Refund Policy.
We may suspend or terminate your access where we reasonably believe you have breached these Terms or the Acceptable Use Policy, or where required by law. Where a breach is capable of remedy we will normally warn you and give you a reasonable opportunity to remedy it first, except where the breach is serious, repeated or continuing.
On termination your licence ends immediately. Your Content remains available for export for the period stated in our Privacy Policy, after which we may delete it. Clauses that by their nature should survive termination — including payment obligations, warranties, liability, indemnity and governing law — survive.
11. Warranties & Liability
We warrant that we will provide the Services with reasonable skill and care, and that they will perform materially as described. This warranty does not apply to a failure caused by your Content, your misuse of the Services, or an event outside our reasonable control.
Except as expressly stated, the Services are provided "as is". To the fullest extent permitted by law we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Services will be uninterrupted or error-free.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that under the Consumer Protection Act, 2015 cannot be limited.
Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill or loss of anticipated savings, however arising. Our total aggregate liability to you for all claims arising out of or relating to the Services is limited to the total fees you paid us for the Services in the twelve months before the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold harmless UBXTY Unboxing Technology, its officers, employees and agents against any claim, loss, damage, cost or expense (including reasonable legal fees) arising from your Content, your use of the Services in breach of these Terms or the Acceptable Use Policy, your breach of applicable law, or your infringement of a third party's rights.
This obligation does not apply to the extent a claim arises from our own act or omission. We will notify you of any claim, allow you to assume the defence, and consult you on its resolution, but may settle where doing so does not admit fault on your part.
13. Changes to Terms
We may amend these Terms from time to time. Where an amendment materially affects your rights or obligations, we will give you at least thirty days' notice by email and, where the change is significant, an in-app notice before it takes effect.
If you do not accept an amendment, you may cancel before it takes effect and we will refund any prepaid, unused portion of the current term in accordance with the Refund Policy. Continuing to use the Services after the change takes effect means you accept the amended Terms.
We will keep a record of each material version and the date it took effect, and will make prior versions available on request.
14. Governing Law & Disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of India.
The courts at Faridkot, Punjab, India have exclusive jurisdiction. Before commencing proceedings, you agree to raise the dispute with us in writing at legal@eehsaas.com and give us thirty days to resolve it. We will do the same.
Nothing in this clause prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction, or from using any consumer forum or statutory remedy available to them. Where you are a consumer, nothing in these Terms waives any right you have under the Consumer Protection Act, 2015 or any other applicable consumer legislation.
If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions continue in effect.
